The agreement governing your access to and use of all DeepCog.ai models, APIs, and services.

1 Acceptance of Terms

By accessing or using any service, model, API, platform, or tool ("Services") provided by Deep Cognition Labs ("DeepCog.ai," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Important

If you do not agree to these Terms, you must not access or use our Services. Continued use of our Services following any modification constitutes acceptance of the revised Terms.

2 Description of Services

DeepCog.ai provides specialized medical artificial intelligence models, APIs, research tools, and related services, including but not limited to OpenBioLLM, GenomicLLM, ClinicalReasoner, DrugDiscovery-LLM, and PathologyVision-LLM. Our Services are designed to support medical research, clinical decision support, and biomedical AI development.

All Services are provided for informational and research support purposes only. Nothing in our Services constitutes medical advice, diagnosis, or treatment, and must not be used as a substitute for professional medical judgment.

3 Eligibility

You must be at least 18 years of age to use our Services. By accessing the Services, you represent and warrant that you meet this requirement. Use of our Services for clinical applications requires that the responsible party hold appropriate professional licensure and comply with all applicable regulations.

4 Account Registration

Certain Services require account registration. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, the AI Acceptable Use Policy, or that we reasonably believe are being used fraudulently or in a manner harmful to others.

5 Permitted and Prohibited Use

Your use of our Services is governed by our AI Acceptable Use Policy, which is incorporated into these Terms by reference. All permitted and prohibited uses described therein apply with full force.

In addition, you may not: sublicense, sell, or resell access to our Services without written authorization; use our Services to train competing AI models without our consent; or circumvent any technical measures we use to enforce these Terms.

6 Intellectual Property

DeepCog.ai and its licensors retain all intellectual property rights in the Services, including model architectures, training methodologies, software, documentation, and brand assets. Nothing in these Terms transfers any ownership interest to you.

Models released under open-source licenses (such as Apache 2.0) are governed by the terms of those licenses in addition to these Terms. Where a conflict arises, the more restrictive provision applies. You retain ownership of data and content you submit to the Services, subject to the license grant below.

By submitting content to our Services, you grant DeepCog.ai a limited, non-exclusive license to process that content solely to provide the Services to you.

7 Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, DEEPCOG.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that our models will be error-free, that outputs will be medically accurate in all cases, or that the Services will be available without interruption. AI-generated outputs may contain errors, omissions, or hallucinations and must be reviewed by qualified professionals before any clinical or research reliance.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEEPCOG.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR PATIENT HARM, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO DEEPCOG.AI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

9 Indemnification

You agree to defend, indemnify, and hold harmless DeepCog.ai, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms or any applicable law; (b) your breach of any representation or warranty herein; or (c) any harm caused by your deployment or distribution of AI-generated outputs.

10 Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for violation of these Terms or the Acceptable Use Policy, or for any other reason at our discretion. Upon termination, all licenses granted herein immediately cease. Sections 6, 7, 8, 9, and 11 survive termination.

11 Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Fairfax County, Virginia. If you are located outside the United States, you consent to this jurisdiction.

12 Changes to Terms

We may update these Terms at any time. We will provide at least 30 days' notice of material changes by email to registered users and by posting an updated version at deepcog.ai/terms. Questions about these Terms may be directed to [email protected].
